World News: NAVTEQ shareholders approve Nokia deal

NAVTEQ’s stockholders have approved the merger agreement with Nokia.

More than 75% of the issued and outstanding shares of common stock eligible to vote, representing more than 99% of the total votes cast at the special meeting, were voted in favour of the adoption of the merger agreement.

Shareholder approval satisfies one of the conditions to completion of the merger between NAVTEQ and Nokia; the deal is still subject to receipt of regulatory approvals and the satisfaction of the other closing conditions set forth in the merger agreement.

On satisfaction of all closing conditions and subject to the terms and conditions of the merger agreement, Nokia subsidiary North Acquisition Corp will be merged with and into NAVTEQ, with NAVTEQ surviving the merger as a wholly-owned subsidiary of Nokia.
